Overview & Acceptance

These Terms & Conditions of Sale (“Terms”) govern all quotations, RFQs, orders, and supply of goods provided by Pump Spares Direct (“PSD”, “we”, “us”, “our”). By submitting an RFQ, accepting a Quote, placing an Order, using our website, or purchasing goods from us in any form, you agree to be bound by these Terms.

 

You acknowledge that you are acquiring the Goods for business or trade purposes, and not for personal, domestic, or household use. This acknowledgement limits the application of certain consumer guarantees under the Australian Consumer Law.

 

These Terms apply to the exclusion of any prior or conflicting terms submitted by the Customer, including purchase orders, emails, verbal representations, or any other documents, unless PSD has agreed to those terms expressly in writing. PSD may update these Terms at any time, and the version in effect at the time an Order is confirmed will apply.

1. Request for Quote (RFQs)

An RFQ is an enquiry only and does not constitute an Order or guarantee price, suitability, or availability. PSD may request additional information including pump photos, manuals, ID plates, or part numbers, before issuing a Quote. PSD may decline RFQs where information is insufficient or inconsistent.

2. Quotes

Quotes are valid only for the duration stated on the Quote (generally 7–14 days). Prices may vary due to supplier changes, OEM increases, freight fluctuations, or exchange rate movements. A Quote does not reserve stock unless explicitly confirmed by PSD.

3. Order Confirmation

An Order is confirmed when:


(a) the Customer accepts the Quote in writing; and
(b) full cleared payment is received by PSD.

 

If a supplier or OEM notifies PSD that Goods are unavailable after payment has been taken, PSD may cancel the Order and provide a full refund. This is the Customer’s sole remedy.

4. Aftermarket Components

Where aftermarket parts are selected, the Customer acknowledges they may differ from OEM-original components. PSD does not warrant OEM-equivalence unless explicitly confirmed in writing.

5. Customer Responsibility

The Customer is responsible for ensuring all details supplied to PSD such as model numbers, serial numbers, part numbers, and application information are correct.

6. Pricing & GST

All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.  GST will be added to all taxable supplies at Invoice.

7. Price Variations 

PSD reserves the right to revise pricing at any time before Order confirmation if suppliers, OEMs, or freight providers adjust their prices.

8. Payment Terms 

Payment must be made upfront unless a formal trade credit arrangement exists. PSD is not responsible for Customer banking fees, card surcharges, or international transaction charges.

9. Minimum Order Values 

Suppliers may impose Minimum Order Values (MOVs) or handling charges, and PSD may pass these through to the Customer.

10. Dispatch Method 

PSD may supply Goods via “blind shipping,” where suppliers dispatch directly using generic packing slips without branding or pricing. Where unavailable, PSD may receive, inspect, and re-dispatch Goods.

11. Delivery Timeframes

Delivery estimates are indicative only. PSD has no control over freight carriers, supplier lead times, or external disruptions (including weather, industrial action, border delays, pandemics, global supply chain shortages, or force majeure events) and is not liable for resulting delays.

12. Transfer of Risk & Title

Risk transfers to the Customer when Goods are handed to the freight carrier. Title transfers to the Customer only upon PSD’s receipt of full cleared payment.

13. Missing, Damaged or Short Supplied Goods

The Customer must inspect Goods upon delivery.
Claims for missing, damaged, or incorrectly supplied items must be made within 7 days of delivery and must include photos and relevant documentation. Claims made after 7 days may be declined.

14. Customer Responsibility for Part Selection

The Customer is solely responsible for ensuring the Goods ordered are suitable for their specific application, pump model, and operating environment. PSD accepts no liability where the Customer has selected a part that does not fit or is incompatible with their equipment.

15. Reliance on Information

Any technical advice, cross-referencing, or part identification assistance provided by PSD is given as a courtesy only. While we make every effort to be accurate, PSD does not guarantee that such information is error-free. The Customer must independently verify that the Part Number matches their requirements before ordering.

16. Installation Requirements

Installation, commissioning, and operation must be carried out by qualified personnel. PSD is not liable for failures caused by incorrect installation, misuse, unsuitable system conditions, chemical exposure, cavitation, or operating beyond manufacturer specifications.

17. Change of Mind Returns

PSD does not accept change-of-mind returns for OEM or aftermarket parts.
This policy is subject to your rights under the Australian Consumer Law.

18. Incorrect Supply by PSD

Where PSD has supplied an incorrect item due to PSD error, PSD will arrange correction or replacement at its cost.

19. Returns (RMA Process)

All returns require prior written approval. Goods must be returned unused, in original packaging, and in resalable condition. Suppliers may impose restocking fees of 5–25%.

20. Customer Cancellations

Orders cannot be cancelled once placed with suppliers or OEMs. PSD becomes financially liable for those Goods upon supplier acceptance.

21. OEM Warranty

OEM parts are covered solely by the manufacturer’s warranty. PSD facilitates the warranty process but does not determine outcomes.

22. Aftermarket Warranty

Aftermarket components are covered by the warranty terms of their respective manufacturer.

23. Warranty Exclusions

Warranty does not cover failures caused by: dry running; cavitation; water hammer; abrasive wear; chemical incompatibility; electrical faults; incorrect installation; misuse; system design issues; or modification of Goods.

24. Warranty Process Requirements

Customers must provide pump details, system conditions, fault descriptions, photos or videos, and testing results. OEMs may require physical inspection.


Freight for warranty assessment is the Customer’s responsibility unless OEM policy states otherwise.

25. Technical Information Provided by Customer

By supplying pump details, manuals, ID plates, or technical information, the Customer grants PSD permission to use the information solely for quotation, order fulfilment, warranty processing, or technical verification.

26. Privacy Compliance

PSD handles personal information in accordance with the Australian Privacy Principles (APPs). See our Privacy Policy for more information.

27. External Resources

PSD may provide links to external OEM manuals and resources. These links are provided to ensure information is current and to avoid hosting copyrighted material.

28. Third-Party Accuracy

PSD does not control or guarantee the accuracy or completeness of third-party content and accepts no liability for reliance placed on external information.

29. Non-Excludable Rights

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, or condition imposed by the Australian Consumer Law (ACL) or any other applicable law that cannot be lawfully excluded.

30. Excluded Losses (Consequential Loss)

To the fullest extent permitted by law, PSD shall not be liable to the Customer or any third party for any indirect, incidental, special, or consequential loss or damage, including but not limited to: (a) loss of profits, revenue, or business opportunity; (b) loss of production or downtime; (c) loss of goodwill or reputation; (d) damage to equipment, systems, or property; or (e) labour costs, removal, or re-installation costs; whether arising in contract, tort (including negligence), equity, statute, or otherwise.

31. Liability Cap

To the extent that liability cannot be excluded, PSD’s total aggregate liability for any claim arising out of or in connection with the supply of Goods is strictly limited, at PSD’s option, to: (a) the replacement of the Goods or the supply of equivalent Goods; or (b) the refund of the price paid by the Customer for the Goods.

32. Technical Advice Disclaimer

Any technical advice, cross-referencing, or guidance provided by PSD is given gratuitously and based solely on information supplied by the Customer. It does not constitute professional engineering advice. PSD assumes no liability for errors or omissions in such advice or for the Customer’s reliance on it.

33. PSD Termination Rights

PSD may cancel or refuse an RFQ, Quote, or Order where:
information provided is inaccurate or incomplete; Goods become unavailable; pricing errors occur; fulfilment is impractical; or the transaction appears fraudulent or unlawful.

34. Customer Termination

The Customer may not cancel an Order after PSD has placed it with a supplier or OEM.

35. Customer Termination

Orders cannot be cancelled once placed with suppliers or OEMs. PSD becomes financially liable for those Goods upon supplier acceptance.

36. Governing Law

These Terms are governed by the laws of Tasmania, Australia.
All disputes are subject to the exclusive jurisdiction of the courts of Tasmania.

37. Severability

If any clause is unenforceable, the remainder of the Terms will continue in full force.

38. Electronic Communications

RFQs, Quotes, and Order confirmations may be issued electronically. Electronic communications are deemed received when transmitted unless proven otherwise.

39. Entire Agreement

These Terms form the entire agreement between PSD and the Customer and supersede all prior discussions or understandings.
